Decision Tree: Which Structure?
You have three paths. Each has trade-offs around speed, control, and credibility. For CCE, we recommend pursuing both fiscal sponsorship (immediate) and your own 501(c)(3) (parallel).
Path A: Fiscal Sponsorship Only
Fiscal Sponsorship
Timeline: 1–4 weeks • Cost: $0 upfront (5–7% ongoing fee on donations)
Pros: Start immediately. Accept tax-deductible donations on day one. No formation paperwork. Access sponsor’s insurance and compliance infrastructure.
Cons: Ongoing fee reduces revenue. Less autonomy. Some funders prefer independent 501(c)(3). Sponsor may restrict activities.
Best for: Testing the concept before committing to full formation.
Path B: Independent 501(c)(3) Only
Full 501(c)(3) Formation
Timeline: 4–12 weeks • Cost: $325–$3,375 (DIY to attorney-assisted)
Pros: Full control. Maximum credibility. No ongoing fees. Access to all grant funding. Own brand and governance.
Cons: Cannot accept tax-deductible donations until approved. More paperwork. Compliance obligations (annual 990, state reports).
Best for: Organizations with patient capital or personal funding for initial months.
Path C: Both (Recommended)
Fiscal Sponsorship + Parallel 501(c)(3) Filing
Timeline: Sponsorship in 1–4 weeks; 501(c)(3) in 4–12 weeks • Cost: $325+ plus temporary sponsor fee
Pros: Accept donations immediately via sponsor. File 501(c)(3) simultaneously. Transition to independent when approved. No gap in fundraising ability. Maximum flexibility.
Cons: Slightly more coordination. Brief period paying sponsor fee. Must plan clean transition.
Best for: CCE — allows immediate fundraising while building permanent infrastructure.

Required Information
- Entity Name: “Colorado Compassion Education” (check availability first via CO SOS business search)
- Registered Agent: Any CO resident or registered agent service. Can be the founder initially. Must have a physical CO address.
- Purpose Statement: Must include language restricting activities to 501(c)(3) purposes
- Dissolution Clause: Assets distributed to another 501(c)(3) upon dissolution (IRS requirement)

Bylaws Outline for CCE
- Article I — Name & Purpose: Legal name, mission statement, 501(c)(3) purpose restriction, dissolution clause
- Article II — Board of Directors: Number (3–7), qualifications, election process, term length (2–3 years), term limits, removal process, vacancies, compensation (none for directors)
- Article III — Officers: President, Vice President, Secretary, Treasurer. Duties of each. Election by board. Terms.
- Article IV — Meetings: Annual meeting, regular meetings (quarterly minimum), special meetings, quorum (majority), notice requirements (7–14 days), electronic participation allowed
- Article V — Committees: Standing committees (Finance, Programs, Fundraising), ad hoc committees, committee authority and reporting
- Article VI — Finances: Fiscal year (Jan–Dec or Jul–Jun), annual budget approval, check signing authority, financial review/audit threshold, conflict of interest policy reference
