Complete guide to forming a 501(c)(3) nonprofit in Colorado for compassion education programming

Decision Tree: Which Structure?

You have three paths. Each has trade-offs around speed, control, and credibility. For CCE, we recommend pursuing both fiscal sponsorship (immediate) and your own 501(c)(3) (parallel).

Path A: Fiscal Sponsorship Only

Fiscal Sponsorship

Timeline: 1–4 weeks • Cost: $0 upfront (5–7% ongoing fee on donations)

Pros: Start immediately. Accept tax-deductible donations on day one. No formation paperwork. Access sponsor’s insurance and compliance infrastructure.

Cons: Ongoing fee reduces revenue. Less autonomy. Some funders prefer independent 501(c)(3). Sponsor may restrict activities.

Best for: Testing the concept before committing to full formation.

Path B: Independent 501(c)(3) Only

Full 501(c)(3) Formation

Timeline: 4–12 weeks • Cost: $325–$3,375 (DIY to attorney-assisted)

Pros: Full control. Maximum credibility. No ongoing fees. Access to all grant funding. Own brand and governance.

Cons: Cannot accept tax-deductible donations until approved. More paperwork. Compliance obligations (annual 990, state reports).

Best for: Organizations with patient capital or personal funding for initial months.

Path C: Both (Recommended)

1 Colorado Articles of Incorporation

File with the Secretary of State

Where: sos.state.co.us → Business → File a Document → Articles of Incorporation (Nonprofit)

Cost: $50

Processing: 1–5 business days

Required Information
  • Entity Name: “Colorado Compassion Education” (check availability first via CO SOS business search)
  • Registered Agent: Any CO resident or registered agent service. Can be the founder initially. Must have a physical CO address.
  • Purpose Statement: Must include language restricting activities to 501(c)(3) purposes
  • Dissolution Clause: Assets distributed to another 501(c)(3) upon dissolution (IRS requirement)
  • Incorporator: Name and address of person filing

Sample Purpose Statement

“To develop and deliver evidence-based compassion education curricula that foster empathy, responsibility, and prosocial behavior in K-12 students through direct interaction with animals. The corporation is organized exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth herein.”
Dissolution Clause (Required by IRS): “Upon dissolution, the assets of this corporation shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or to the federal government, or to a state or local government, for a public purpose.”

2 IRS 501(c)(3) Application

Form 1023-EZ (Streamlined)

Where: pay.gov → Search “Form 1023-EZ”

Cost: $275

Processing: 2–4 weeks typical

Eligibility for 1023-EZ (all must be true)
  • Projected gross receipts under $50,000 in each of the first 3 years
  • Total assets under $250,000
  • Not a school, hospital, or supporting organization
  • Formed in the United States
  • Not a successor to a for-profit entity
Tip: CCE easily qualifies for 1023-EZ. Year 1 budget is projected at $15,000–$45,000. If you anticipate exceeding $50K in year 2 or 3, use the full Form 1023 ($600 fee, 3–6 month processing).
What You Need Before Filing
  • Articles of Incorporation (filed and returned from CO SOS)
  • Employer Identification Number (EIN)
  • Bylaws adopted by the board
  • Names and addresses of officers/directors
  • Brief description of activities
  • Financial projections (3 years)

3 Employer Identification Number

IRS Form SS-4 (Online)

Where: irs.gov → Apply for EIN Online

Cost: FREE

Processing: Immediate

  • Available Monday–Friday, 7am–10pm Eastern
  • Apply as “Other Nonprofit/Tax-Exempt Organization”
  • You’ll receive your EIN instantly upon completion
  • Need SSN of “responsible party” (founder/president)
  • Do this AFTER Articles are filed but BEFORE 1023-EZ

4 Fiscal Sponsors

Recommended Fiscal Sponsors in Colorado

  • Role: Does not directly sponsor but provides referrals, templates, and resources for finding sponsors
  • Resources: Legal clinic, formation guides, networking, professional development
  • Membership: $75–$250/year depending on budget size
Transition Plan: Most fiscal sponsorship agreements include a 30–90 day transition clause. Once your 501(c)(3) is approved, notify your sponsor and transfer donor relationships to your own entity. Allow 60 days for a clean handoff.

5 Board of Directors

Requirements and Composition

Colorado Law: Minimum 1 director required (CRS 7-128-201). However, IRS expects a functioning board for 501(c)(3) status.

Recommended: 3–7 directors for a startup nonprofit. Odd numbers avoid tie votes.

Board Member Responsibilities: Duty of Care (attend meetings, stay informed), Duty of Loyalty (put organization first, disclose conflicts), Duty of Obedience (follow mission and law). Term limits of 2–3 years with option to renew keep the board fresh.

6 Bylaws

Bylaws Outline for CCE

  • Article I — Name & Purpose: Legal name, mission statement, 501(c)(3) purpose restriction, dissolution clause
  • Article II — Board of Directors: Number (3–7), qualifications, election process, term length (2–3 years), term limits, removal process, vacancies, compensation (none for directors)
  • Article III — Officers: President, Vice President, Secretary, Treasurer. Duties of each. Election by board. Terms.
  • Article IV — Meetings: Annual meeting, regular meetings (quarterly minimum), special meetings, quorum (majority), notice requirements (7–14 days), electronic participation allowed
  • Article V — Committees: Standing committees (Finance, Programs, Fundraising), ad hoc committees, committee authority and reporting
  • Article VI — Finances: Fiscal year (Jan–Dec or Jul–Jun), annual budget approval, check signing authority, financial review/audit threshold, conflict of interest policy reference
  • Article VII — Amendments: Two-thirds board vote required, 14-day written notice of proposed amendments
  • Article VIII — Dissolution: Two-thirds board vote, assets distributed per IRS requirements to another 501(c)(3)

Colorado Charitable Solicitations Registration

Where: Colorado Secretary of State

Cost: $8

When: Before soliciting any donations in Colorado

Renewal: Annually with your periodic report

State Sales Tax Exemption

Form: DR 0715 (Application for Sales Tax Exemption)

Where: Colorado Department of Revenue

Cost: FREE

Requirement: Must have IRS determination letter first

Benefit: Exempt from paying state sales tax on purchases for organizational use

8 Directors & Officers Insurance

D&O Coverage

Cost: $500–$1,500/year

Coverage: Protects board members personally from lawsuits related to their governance decisions

Why Essential: Most qualified board members will not serve without D&O coverage. It protects their personal assets from claims of mismanagement, breach of duty, or negligence in their board role.

When to Purchase: Before first board meeting. Include in budget from day one.
